Following an investigative report by the "Animal Welfare Issue Team" in the February 2026 issue of the economic magazine ZAITEN, the latest May issue features an incisive piece by journalist Kohei Haba. The article delves into the "financial risks associated with the U.S. Steel acquisition" and the "threat of credit downgrades" currently shaking Nippon Steel’s management.
For 18 installments, we have been reporting on the need to protect animal welfare and the dignity of workers at the East Nippon Works (Kashima Area). While a multi-trillion yen international acquisition and a local feeding ban may seem unrelated, they share a common root: a "distortion of corporate governance" characterized by the dismissal of frontline voices and scientific rationality in favor of dogmatic management.
Ahead of the 2026 Annual General Meeting of Shareholders, we, as stakeholders, highlight the following risks embedded in Nippon Steel’s "Management OS."
1. Are the Facilities Aging, or is it the Management Mindset?
Mr. Haba’s report emphasizes that aging equipment and recurring troubles at U.S. Steel are straining Nippon Steel’s finances, leading rating agencies (such as S&P) to issue a "Negative" outlook.
As observers of the local operations, we fear an "obsolescence of management sensibility." Despite scientific solutions (TNR and sheltering) proven and recommended by international bodies like NASA, the University of Pennsylvania, and the Japanese Ministry of the Environment, the company stubbornly enforces an antiquated policy of "elimination by starvation" based on the baseless assumption that "stopping food will make them disappear." This lack of "intellectual adaptability" represents a significant hidden risk in managing and transforming complex global projects.
2. Refusal of Dialogue: Brand Erosion and Lack of Animal Welfare
As pointed out in the February issue of ZAITEN, the "feeding ban" enforced by Nippon Steel constitutes a clear "Corporate Animal Welfare" issue under international standards.
Intentionally starving living beings and penalizing the conscience of those who try to help through "indefinite site bans" symbolizes a "numbing of ethics." This humanitarian neglect underlies the broader risks associated with massive acquisitions.
Such practices, which could be interpreted as an "Abuse of Superior Bargaining Position" or "disregard for human rights," could lead to critical negative evaluations under strict European disclosure standards (such as CSDDD) and international certifications like ResponsibleSteel™. As credit ratings approach "Junk" status, the erosion of ethical brand value risks isolating Nippon Steel from the global market.
3. Proposals as Stakeholders
We hope Nippon Steel, a company possessing world-class technology, will update its governance to meet international standards by:
- Re-evaluating humanitarian solutions for animal welfare based on scientific evidence.
- Abolishing unjust regulations and coercive measures against partner company employees for private conduct.
- Establishing a transparent grievance mechanism that listens to critical voices.
These are not extraordinary demands; they are simply a call for the company to comply with its own "Human Rights Policy."
4. Organizational Integrity from a Shareholder Perspective
At the upcoming General Meeting of Shareholders, investors will look beyond immediate financial figures.
A crucial question for long-term "Sustainability" is: Can an organizational culture that fails to solve local, small-scale issues through scientific and rational means truly control the risks of multi-trillion yen overseas investments?
The refusal to address site-level friction and engage in dialogue is a challenge to "Management Transparency" that shareholders cannot afford to ignore.
[Conclusion] "Make Our Earth Green." The "green" in Nippon Steel’s logo must encompass compassion for life and sincere dialogue with stakeholders. We urge the company to treat the warnings raised by ZAITENas an opportunity to reform and emerge as a true global leader.
